Terms of Service

By creating an account, signing an order form, or otherwise accessing the Pinnnng platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not access or use the Service. We may update these Terms from time to time; material changes will be notified at least 30 days in advance via email and in-product notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

• Accurate information. You agree to provide current, complete and accurate registration details.
• One account per legal entity. Multiple employees within your organization may use a single account under appropriate user seats.
• Age. You must be at least 18 years of age or the age of majority in your jurisdiction.

You retain all rights to media, playlists and other content you upload or create on the Service ("Customer Content"). You grant Pinnnng a limited license to host, transmit, display and cache Customer Content solely to provide the Service to you.

Content responsibilities

• You must have the right to display the content on the screens you publish to.
• You must comply with applicable advertising, consumer-protection and financial-disclosure laws.
• You may not publish content that is unlawful, infringing, deceptive, or that depicts minors in a sexualized manner.

When using the Service, you agree not to:

• Reverse engineer, decompile or attempt to derive the source code of any non-open-source component;
• Use the Service to transmit malware, conduct phishing, or attempt unauthorized access to our or any third party's systems;
• Use the Service in a manner that exceeds documented rate limits or that materially degrades service for other customers;
• Resell, sublicense or offer the Service as a standalone product to third parties without a written reseller agreement;
• Scrape or bulk-export data in violation of our API terms.

Paid plans are billed in advance on a monthly or annual basis. Fees are quoted exclusive of applicable taxes, which will be added where required. All fees are non-refundable except as expressly set out in these Terms or required by law.

Renewals

Subscriptions automatically renew for successive terms of the same length unless cancelled at least 14 days before the next renewal date. Monthly plans may be cancelled at any time; cancellation takes effect at the end of the current billing period.

Price changes

We may change prices upon at least 60 days' notice. Price changes will not take effect until the next renewal term.

We target 99.9% monthly uptime for the Service on our Business plan and 99.95% on Enterprise, measured according to our published service level agreement (SLA).

Scheduled maintenance will be announced at least 48 hours in advance and scheduled outside peak business hours in each region where possible. Emergency maintenance may occur without notice; we'll document it after the fact.

Either party may terminate these Terms for material breach if the breach is not cured within 30 days of written notice. We may suspend the Service immediately if your use poses a security or legal risk to us or other customers, with notice where feasible.

Upon termination, you will have 90 days to export your data via our API or CSV export tools. After that period we will delete your data from active systems within 30 days, and from backups within 180 days.

We warrant that the Service will perform materially in accordance with its documentation. Your exclusive remedy for breach of this warranty is to terminate and receive a pro-rated refund for the unused portion of the term.

Except as expressly stated, the Service is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue or data, even if advised of the possibility of such damages.

Each party's aggregate liability under these Terms shall not exceed the fees paid or payable by you to Pinnnng in the 12 months preceding the event giving rise to the claim. Liability for fraud, willful misconduct, or breach of confidentiality obligations is not capped.

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of laws principles. Any dispute arising out of these Terms shall be brought exclusively in the state or federal courts located in Hudson County, New Jersey.
